IMPORTANT—READCAREFULLY:DonotloadorusetheSoftwareuntilyouhavecarefullyreadandagreedtothefollowingtermsandconditions。Thisisalegalagreement(“Agreement”)betweenyou(eitheraninpidualoranentity)(“Licensee”)andAdvancedMicroDevices，Inc。(“AMD”)。IfLicenseedoesnotagreetothetermsofthisAgreement，donotinstallorusethissoftwareoranyportionthereof。Byloadingorusingtheobjectcodeversiononlyofthesoftwareobtainedherewith，whichmayincludeassociatedinstallscriptsandonlineorelectronicdocumentationoranyportionthereof，thatismadeavailablebyAMDtodownloadfromanymedia(“Software”)，LicenseeagreestoallofthetermsofthisAgreement。
1。LICENSE:
a。SubjecttothetermsandconditionsofthisAgreement，AMDgrantsLicenseethefollowingnon-exclusive，non-transferable，royalty-free，limitedcopyrightlicensetodownload，copyandusetheobjectcodeversionoftheSoftwareandmaterialsassociatedwiththisAgreement，includingwithoutlimitationprinteddocumentation，(collectively，“Materials”)foruseonlywithAMDprocessors。
b。SubjecttothetermsandconditionsofthisAgreement，AMDgrantsLicenseeanon-exclusive，non-transferable，royalty-free，limitedcopyrightlicensetomakeanddistributetheobjectcodeversionoftheSoftwareprovidedthatLicenseeredistributestheSoftwareunderthisAgreement。Furthermore，anyredistributionmustmakeclearthattherecipientofsuchredistributionisagreeingtothetermsofthisAgreementandrequireaffirmativeacceptancethereof(bywayofatleasta“clickwrap”)priortoanyuseoftheSoftware。
b。Exceptforthelimitedlicensegrantedherein，LicenseeshallhavenootherrightsintheMaterials，whetherexpress，implied，arisingbyestoppelorotherwise。Exceptasexpresslysetforthherein，Licenseedoesnothavetherightto(i)distribute，rent，lease，sell，sublicense，assign，orotherwisetransfertheMaterials，inwholeorinpart，tothirdpartiesforcommercialorfornon-commercialuse;or(ii)modify，disassemble，reverseengineer，ordecompiletheSoftware，orotherwisereduceanypartoftheSoftwaretoanyhumanreadableform。AllrightsinandtotheMaterialsnotexpresslygrantedtoLicenseeinthisAgreementarereservedtoAMD。
2。FEEDBACK:LicenseemayprovideAMDfeedback，suggestionsoropinionsastotheSoftware，itsfeatures，anddesiredenhancementsorchanges。IfLicenseeprovidesfeedback，suggestionsoropinionstoAMDregardinganynewfeatures，use，functionality，orchangetotheSoftwareoranymaterialsrelatedtotheSoftware，Licenseeherebyagreestogrant，anddoesgrant，AMDallrightsneededforAMDtoincorporateandcommercializeanynewfeature，use，functionality，orchangeatnochargeorencumbrancetoAMD。LicenseeagreesthatAMDmaydisclosesuchfeedback，suggestionsoropinionstoanythirdpartyinanymanner，andLicenseeagreesthatAMDhastheabilitytosublicenseanyoftheforegoingrightsinanyfeedback，suggestionsoropinionsorAMDproductsorservicesinanyformtoanythirdpartywithoutrestriction。
3。OWNERSHIPANDCOPYRIGHTOFMATERIALS:LicenseeagreesthattheMaterialsareownedbyAMDandareprotectedbyUnitedStatesandforeignintellectualpropertylaws(e。g。patentandcopyrightlaws)andinternationaltreatyprovisions。LicenseewillnotremovethecopyrightnoticefromtheMaterials。LicenseeagreestopreventanyunauthorizedcopyingoftheMaterials。AlltitleandcopyrightsinandtotheMaterials，allcopiesthereof(inwholeorinpart，andinanyform)，andallrightsthereinshallremainvestedinAMD。Exceptasexpresslyprovidedherein，AMDdoesnotgrantanyexpressorimpliedrighttoLicenseeunderAMDpatents，copyrights，trademarks，ortradesecretinformation。
4。WARRANTYDISCLAIMER:THEMATERIALSAREPROVIDED“ASIS”WITHOUTANYEXPRESSORIMPLIEDWARRANTYOFANYKINDINCLUDINGWARRANTIESOFMERCHANTABILITY，NONINFRINGEMENTOFTHIRD-PARTYINTELLECTUALPROPERTY，title，ORFITNESSFORANYPARTICULARPURPOSE，ORTHOSEARISINGFROMCUSTOMOFTRADEORCOURSEOFUSAGE。THEENTIRERISKARISINGOUTOFUSEORPERFORMANCEOFTHEMATERIALSREMAINSWITHLICENSEE。
AMDDOESNOTWARRANT，GUARANTEE，ORMAKEANYREPRESENTATIONSASTOTHECORRECTNESS，ACCURACY，COMPLETENESS，QUALITY，ORRELIABILITYOFTHEMATERIALS。AMDDOESNOTWARRANTTHATOPERATIONOFTHEMATERIALSWILLBEUNINTERRUPTEDORERROR-FREE。YOUARERESPONSIBLEFORDETERMININGTHEAPPROPRIATENESSOFUSINGTHESOFTWAREANDASSUMEALLRISKSASSOCIATEDWITHTHEUSEOFTHEMATERIALS，INCLUDINGBUTNOTLIMITEDTOTHERISKSOFPROGRAMERRORS，DAMAGETOORLOSSOFDATA，PROGRAMSOREQUIPMENT，ANDUNAVAILABILITYORINTERRUPTIONOFOPERATIONS。SOMEJURISDICTIONSDONOTALLOWFORTHEEXCLUSIONORLIMITATIONOFIMPLIEDWARRANTIES，SOTHEABOVELIMITATIONSOREXCLUSIONSMAYNOTAPPLYTOLICENSEE。
5。LIMITATIONOFLIABILITY:INNOEVENTSHALLAMDORITSDIRECTORS，OFFICERS，EMPLOYEESANDAGENTS，ITSSUPPLIERSORITSLICENSORSBELIABLETOLICENSEEORANYTHIRDPARTIESINRECEIPTOFTHEMATERIALSFORCONSEQUENTIAL，INCIDENTAL，PUNITIVEORSPECIALDAMAGES，INCLUDING，BUTNOTLIMITEDTOLOSSOFPROFITS，BUSINESSINTERRUPTION，ORLOSSOFINFORMATIONARISINGOUTOFTHEUSEOFORINABILITYTOUSETHEMATERIALS，EVENIFAMDHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES。AMDDOESNOTASSUMEANYRESPONSIBILITYTOSUPPORTORUPDATETHEMATERIALS。BYUSINGTHEMATERIALSWITHOUTCHARGE，YOUACCEPTTHISALLOCATIONOFRISK。BECAUSESOMEJURSIDICTIONSPROHIBITTHEEXCLUSIONORLIMITATIONOFLIABILITYFORCONSEQUENTIALORINCIDENTALDAMAGES，THEABOVELIMITATIONMAYNOTAPPLYTOLICENSEE。
6。U。S。GOVERNMENTRESTRICTEDRIGHTS:TheMaterialsareprovidedwith“RESTRICTEDRIGHTS。”Use，duplicationordisclosurebytheGovernmentissubjecttorestrictionsassetforthinFAR52。227-14andDFAR252。227-7013，etseq。，oritssuccessor。UseoftheMaterialsbytheGovernmentconstitutesacknowledgmentofAMD’sproprietaryrightsinthem。
7。TERMINATIONOFLICENSE:ThisAgreementwillterminateimmediatelywithoutnoticefromAMDorjudicialresolutionifLicenseefailstocomplywithanyprovisionsofthisAgreement。UponterminationofthisAgreement，LicenseemustdeleteordestroyallcopiesoftheMaterials。
8。SUPPORT。UnderthisAgreement，AMDisundernoobligationtoassistintheuseoftheMaterials，toprovidesupporttolicenseesoftheMaterials，ortoprovidemaintenance，correction，modification，enhancement，orupgradestotheMaterials。IfAMDdetermines，initssolediscretion，tosupport，maintain，correct，modify，enhance，orupgradetheSoftware，suchsupport，maintenance，correction，modification，enhancementorupgradeshallbeconsideredpartoftheMaterials，andshallbesubjecttothisAgreement。
9。SURVIVAL:Sections1(b)，2，3，4，5，6，8，9and10shallsurviveanyexpirationorterminationofthisAgreement。
10。APPLICABLELAWS:AnyclaimarisingunderorrelatingtothisAgreementshallbegovernedbyandconstruedinaccordancewiththesubstantivelawsoftheStateofCalifornia，withoutregardtoprinciplesofconflictoflaws。EachpartyheretosubmitstothejurisdictionofthestateandfederalcourtsofSantaClaraCountyandtheNorthernDistrictofCaliforniaforthepurposesofalllegalproceedingsarisingoutoforrelatingtothisAgreementorthesubjectmatterhereof。Eachpartywaivesanyobjectionwhichitmayhavetocontestsuchforum。
11。IMPORT/EXPORT/RE-EXPORT/USE/RELEASE/TRANSFERRESTRICTIONSANDCOMPLIANCEWITHLAWS:Licenseeisherebyprovidednotice，andagreesandacknowledges，thattheSoftware，itssourcecode，anyaccompanyingmedia，materialorinformation，andanyproductoftheforegoing，maybesubjecttorestrictionsonuse，release，transfer，importation，exportationand/orre-exportationunderthelawsandregulationsoftheUnitedStatesorothercountries("ApplicableLaws")，whichincludebutarenotlimitedtoU。S。exportcontrollawssuchastheExportAdministrationRegulationsandnationalsecuritycontrolsasdefinedthereunder，aswellasStateDepartmentcontrolsundertheU。S。MunitionsList。LicenseefurtheragreesthattheSoftware，itssourcecode，anyaccompanyingmedia，materialorinformation，andanyproductoftheforegoing，willnotbeused，released，transferred，imported，exportedand/orre-exportedinanymannerprohibitedunderApplicableLaws，includingU。S。exportcontrollawsregardingspecificallydesignatedpersons，countriesandnationalsofcountriessubjecttonationalsecuritycontrolsasprovidedinLicenseExceptionTSRoftheExportAdministrationRegulationsandanysuccessorregulations。
12。SEVERABILITY:ShouldanytermofthisAgreementbedeclaredvoidorunenforceablebyanycourtofcompetentjurisdiction，suchdeclarationshallhavenoeffectontheremainingtermshereof。
13。NOWAIVER:Thefailureofeitherpartytoenforceanyrightsgrantedhereunderortotakeactionagainsttheotherpartyintheeventofanybreachhereundershallnotbedeemedawaiverbythatpartyastosubsequentenforcementofrightsorsubsequentactionsintheeventoffuturebreaches。
14。ENTIREAGREEMENT:ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesanypriororcontemporaneousoralorwrittenagreementswithrespecttothesubjectmatterofthisAgreement。
IfyouagreetoabidebythetermsandconditionsofthisAgreement，pleasepress“Accept。”IfyoudonotagreetoabidebythetermsandconditionsofthisAgreementandpress“Decline，”youmaynotusetheMaterials。
